Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of products, websites, dashboards, APIs, and services provided by Pro Logica AI (“Pro Logica AI,” “we,” “us,” or “our”). By using our services, you agree to these Terms. If you do not agree, do not use the services.
Scope and eligibility
- These Terms apply to our websites, product portals, APIs, and support channels.
- You must be legally able to form a binding contract to use the services.
- If you use the services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
Accounts and security
- You are responsible for your account credentials and for all activity under your account.
- Notify us promptly of any suspected compromise or unauthorized use.
- We may suspend access to protect users, systems, or data.
Acceptable use
- No unlawful, infringing, or deceptive activity.
- No attempts to disable, interfere with, or probe the services or related infrastructure except as permitted by a written security test authorization.
- No use of the services to collect or process prohibited data or to violate others’ rights.
Customer content and data
- You retain ownership of your content and grant us a limited license to process it to provide the services and support.
- We implement administrative, technical, and physical safeguards appropriate to the services. See our Privacy Policy for details on personal information processing.
- You are responsible for obtaining necessary rights and notices for content you submit.
AI features
Some features rely on AI models. We may process inputs and outputs to provide the feature, improve quality, and ensure safety. Unless otherwise agreed in writing, we do not use your confidential training data to build general models for other customers.
Intellectual property
- We and our licensors own the services and all related IP. These Terms do not transfer ownership.
- Feedback you provide may be used to improve the services without obligation.
Fees and taxes
- Paid services are billed as described in an order or plan page.
- Fees are exclusive of taxes; you are responsible for applicable taxes other than our income taxes.
Confidentiality
Each party may receive confidential information from the other. The receiving party will use the same degree of care it uses to protect its own confidential information (and at least reasonable care) and will use it only to provide or receive the services.
Warranties and disclaimers
- Services are provided “as is” and “as available.”
- We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non‑infringement to the extent permitted by law.
Limitation of liability
To the extent permitted by law, neither party will be liable for indirect, consequential, special, or incidental damages, or for lost profits or revenues. Each party’s aggregate liability under these Terms will not exceed the amounts paid or payable by you to Pro Logica AI for the 12 months preceding the event giving rise to the claim.
Indemnification
You will defend and indemnify Pro Logica AI against third‑party claims arising from your content or your breach of these Terms, subject to prompt notice and reasonable cooperation.
Suspension and termination
- You may stop using the services at any time. Certain plans may renew automatically as described in the order.
- We may suspend or terminate access for material breach, security risk, non‑payment, or unlawful use.
- Upon termination, your rights to use the services cease, and we may delete data per our retention practices.
Governing law and disputes
These Terms are governed by the laws of the State of California, excluding conflict of laws rules. The parties consent to exclusive jurisdiction and venue in Orange County, California, for disputes that are not subject to arbitration. Nothing limits either party’s right to seek injunctive relief.
Changes to these Terms
We may update these Terms to reflect changes in our services or applicable law. If changes are material, we will provide reasonable notice. Continued use after the effective date constitutes acceptance of the updated Terms.
